Engine License

Last updated

This is what you get when you licence the Typomat engine, in plain words. You can build it into your product, and your users can keep and use the fonts they make. You can't pass the engine on or sell it as a font service of your own.

Who this is between

This licence is between Marco Lüthi, Gutstrasse 172, 8055 Zürich, Switzerland ("we"), and the business that buys it ("you"). The "engine" is the Typomat font engine in any form we give you: the SDK package, its WebAssembly file, its documentation, and access to the hosted API. Engine licences are for businesses, not consumers. To use the fonts you make yourself in the app, see the Font License instead.

What we grant you

For as long as your licence runs, we grant you a worldwide, non-exclusive, non-transferable right to:

  • integrate the engine into the products your plan covers, and distribute it to your users as part of them;
  • run it in your users' browsers and devices, and on servers you control;
  • give your users controls that use it, and let them export the fonts they make;
  • let contractors work with it on your behalf, as long as you answer for them.

What your plan covers

  • Free trial: the hosted API, for 14 days and up to 100 fonts, to try it out. It isn't for your live product. It ends by itself, and costs nothing.
  • Pilot: one product, for 60 days. Your key then expires, and the licence ends unless you buy a yearly one.
  • Small integration: one product on one domain, with a Typomat credit somewhere your users can find it.
  • Standard SDK: one product, on any number of domains and apps. No credit needed.
  • Full integration: all of your company's products, and the interactive dial interface.
  • API plans: calling the hosted API, up to your plan's monthly fonts.
  • White-label: as agreed in your project's own order.

A "product" is one thing your customers would recognise as one thing, under one name. Prices and limits are on the pricing page.

Fonts your users make

Fonts generated with the engine in your product ("generated fonts") can be used by you and your users for anything, commercially or not, worldwide, with no time limit and no royalties. That includes embedding them, converting them to outlines and giving the files to people they work with, and it continues after your licence ends.

Three things stay as they are:

  • They aren't exclusive. The same parameters draw the same letters, so someone else may end up with the same font, under their own licence.
  • No copying other people's work. Rebuilding someone else's typeface with the parameters gives no rights to it.
  • Names are up to the user. Nothing here clears a font name or logo as a trademark.

What you can't do

  • Sell, sublicense or hand over the engine, other than inside your product.
  • Offer it as a font-generation API, SDK or service to others, or build a product whose main purpose is reselling it.
  • Use it to mass-produce fonts for a catalogue or marketplace.
  • Reverse engineer it, except as far as the law says we can't stop you.
  • Use it or its output to train a machine-learning model that generates fonts.
  • Remove our copyright notices from the package.

Who owns what

We keep all rights in the engine: this is a licence, not a sale. You keep all rights in your product. If you send us ideas, we can use them, with no obligation to you.

How long it runs

Yearly and monthly licences renew automatically until cancelled, and you can cancel at any time in your account. Your licence then runs to the end of the period you've paid for. See the Terms of Sale for payment.

When your licence ends, API keys stop working, and you take the engine out of your product within 30 days. Generated fonts stay licensed as above. Either of us can end the licence straight away if the other materially breaches it and hasn't fixed that within 30 days of being told.

Updates and support

While your licence runs, you get new versions of the package from your account, and email support as your plan describes. We try to keep the same parameters drawing the same letters across versions, and will say so in advance if an update changes that.

Your users' data

The SDK runs on your users' devices and sends nothing to us. The hosted API doesn't store what you send it: see the privacy policy. You're responsible for your own product's privacy policy, and for how you use the engine under the laws that apply to you.

Warranty and liability

We warrant that we have the right to grant this licence, and that the engine works substantially as documented. Beyond that it comes as it is, and generated fonts come without warranty. Test them before you depend on them. We don't promise any particular availability for the hosted API.

As far as the law allows, neither of us is liable to the other for indirect or consequential loss, and our total liability is limited to what you paid us in the twelve months before the claim. Nothing limits liability for intent or gross negligence, or anything else that can't be limited by law.

The rest

Swiss law applies, without its conflict-of-law rules or the UN Convention on Contracts for the International Sale of Goods. The courts of Zürich have jurisdiction. If part of this turns out to be invalid, the rest stands. You can't transfer this licence without our agreement, except along with the sale of your whole business.

Changes

A new version of this page, with a new date at the top, applies from your next renewal. For anything this doesn't cover, write to Marco: most things can be agreed in writing.
